These Terms and Conditions ("Terms") govern your use of our website at wowitsolutions.com and any services provided by WOW IT Solutions, owned and operated by Rohit Shah ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using this website or our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and accept these Terms and Conditions in full. If you do not agree to these Terms, please do not use our website or services.

2. Services Offered

WOW IT Solutions provides the following services:

  • AI Automation and Agentic AI Workflow development
  • Custom software development (SaaS, Web, Mobile applications)
  • Full-stack development using Python, Next.js, React, and other technologies
  • AI integration using Claude, ChatGPT, Gemini, N8N, Supabase, and related tools
  • Digital marketing, SEO, SMO, SMM, and Meta Ads campaign management
  • Technical consulting and IT advisory services

All services are subject to separate engagement agreements, statements of work, or service contracts.

3. Intellectual Property

3.1 Our Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of WOW IT Solutions or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

3.2 Client Work Product

Unless explicitly stated in a signed agreement, upon full payment of all fees, the deliverables created specifically for you will be assigned to you. Pre-existing tools, frameworks, methodologies, and intellectual property of WOW IT Solutions remain our property.

4. Service Engagement & Payments

  • All projects require a written agreement or statement of work before commencement
  • Payment terms (deposits, milestones, final payments) are specified in individual project agreements
  • Late payments may attract interest as specified in the project agreement
  • We reserve the right to pause or terminate work on projects with outstanding payments
  • All fees are exclusive of applicable taxes unless stated otherwise

5. Client Responsibilities

For successful project delivery, clients agree to:

  • Provide timely feedback and approvals within agreed timeframes
  • Supply all required materials, content, credentials, and access as needed
  • Ensure that content provided does not infringe upon any third-party rights
  • Designate a primary point of contact for project communications
  • Not hold us liable for delays caused by client inaction or delayed approvals

6. AI Tools & Third-Party Services

Our services may involve the use of AI tools and third-party platforms. You acknowledge that:

  • AI-generated outputs may require human review and are not guaranteed to be error-free
  • Third-party services (N8N, Supabase, Claude, etc.) are subject to their own terms and pricing
  • We are not responsible for changes, outages, or pricing changes by third-party service providers
  • You are responsible for obtaining any necessary licenses or subscriptions for third-party tools used in your project

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. We will not disclose your business information, strategies, or data to third parties without your consent, except as required by law or as necessary to deliver our services. We may showcase completed projects in our portfolio unless you request otherwise in writing.

8. Limitation of Liability

To the maximum extent permitted by law:

  • WOW IT Solutions shall not be liable for any indirect, incidental, special, or consequential damages
  • Our total liability for any claim shall not exceed the fees paid by you in the 3 months preceding the claim
  • We make no warranties regarding the performance of third-party AI tools or platforms
  • We are not liable for business losses, data loss, or lost profits arising from the use of our services

9. Warranties & Disclaimers

Our services are provided "as is." We warrant that we will perform services with reasonable skill and care, but we do not guarantee specific business outcomes, ROI, ranking positions, or conversion rates from marketing services. Results may vary based on market conditions, competition, and client implementation.

10. Revisions & Change Requests

Project scopes are defined in the engagement agreement. Additional work beyond the agreed scope will be quoted separately. We offer reasonable revisions within the agreed revision rounds. Extensive revisions or scope changes will be treated as new project requirements.

11. Termination

Either party may terminate a project engagement with 14 days' written notice. Upon termination:

  • Payment is due for all work completed up to the termination date
  • We will deliver all completed work products upon receipt of outstanding payment
  • Confidentiality obligations survive termination

12. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra, India. We encourage resolution of disputes through good-faith negotiation before legal action.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated date. Continued use of our website or services after changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
